Ownership Terms.
1. Proprietary Rights and Grant of License
This is the core of our "Offline-First" promise. We distinguish between the physical hardware (which you own) and the software (which is licensed).
Ownership of Hardware: Upon full payment, the Customer owns the physical hardware (e.g., SentryIQ, SentryCORE).
Software License: The software, firmware, and any updates provided (the "Software") are licensed, not sold. Tantallon Lifestyle Technologies grants you a non-exclusive, non-transferable, and limited license to use the Software solely as embedded in the Hardware.
Open-Source Components: Certain components of the Software or firmware may include third-party open-source software, which is subject to its own specific licensing terms. Tantallon Lifestyle Technologies respects and abides by the terms of these open-source licenses, and nothing in these Ownership Terms is intended to restrict, limit, or alter your rights or obligations under them. Where applicable, you are granted rights to those specific components in accordance with the relevant open-source licenses.
Proprietary Modifications: Any proprietary modifications, customizations, or higher-level application software developed by Tantallon that do not fall under mandatory open-source copyleft requirements remain our exclusive property under the standard Software License above.
2. Data Ownership and Sovereignty
This mirrors our Website Charter, legally protecting our "no cloud" stance.
Data Sovereignty: All data generated by the Tantallon framework remains the sole property of the Customer and is stored locally on the Customer's hardware. Tantallon Lifestyle Technologies does not have access to, nor does it collect, your private security data, sensor logs, or video feeds.
Customer Responsibility: The Customer is solely responsible for the security of their local network and the physical safety of their Tantallon hardware. Tantallon Lifestyle Technologies is not responsible for data loss resulting from hardware damage, unauthorized local access, or network failure within the Customer's home.
3. Limited Hardware Warranty (Ontario)
The standard protection we offer for our hardware products.
Warranty Period: Tantallon Lifestyle Technologies warrants that the Hardware will be free from defects in materials and workmanship for a period of one (1) year from the date of purchase.
Remedies: In the event of a defect, Tantallon will, at its option, repair or replace the Hardware. This warranty does not cover damage caused by accident, abuse, or unauthorized modification (including opening the "Ghost" or "Boss" enclosures in a manner not specified in the documentation).
4. Limitation of Liability
This lays out the limits of our liability should something go wrong.
Liability Cap: To the maximum extent permitted by applicable law, the total liability of Optima Telecom, Inc. (operating as Tantallon Lifestyle Technologies) for any claim arising out of the use of the products shall not exceed the amount actually paid by the Customer for the specific product giving rise to the claim.
No Consequential Damages: In no event shall we be liable for any indirect, incidental, or consequential damages (including loss of data or home security breaches) arising from the use or inability to use the products.
5. Fair Trade and Pricing
Our commitment to price integrity and transparency.
Tantallon Lifestyle Technologies commits to transparent pricing models. We do not utilize behavioral tracking or automated profiling to adjust pricing on an individual basis (Personalized Pricing).
6. Governing Law and Jurisdiction
We are proudly based in and governed by the laws of Ontario, Canada.
Governing Law: These terms and your use of Tantallon products are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in York Region or Toronto, Ontario, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
